It depends a bit on the manufacturers drivers. The v1.0.x drivers for my
3CRWE154G72 card work fine in Windows. They have a 3C154G72.sys file,
and a separate prismdcb.arm file (in system32\drivers), which is the
firmware. In my case, it was 1.0.1, which I swapped for the 1.0.4 from
the prism54.org site.

Now, the 2.1 drivers (which don't work at all, even if you follow their
updating instructions to the letter) include only a 370kb .sys file -
which I can only assume has the firmware embedded in it, as there is no
firmware file distributed with the 2.1 drivers. If I get bored I might
try to pull apart the 2.1 .sys file and see whether it really does have
firmware embedded. I know that leaving the old firmware file around or
not makes no difference - it doesn't work either way. Maybe I should
write to 3Com and ask for a v2.1 driver CD. What I do know is that I
managed to destroy a WinXP box completely the first time I tried
updating to 2.1... Second time I was more careful. :)
