I have the same problem on two different computers with Z-COM XG-901 (bought in
I4.CZ :-) on a vanilla 2.6.6 Linux kernel with the latest version of a prism54
driver from CVS (Revision: 1.206, Fri Jun 11 07:16:12 2004 UTC) and the latest
version of firmware 1.0.4.3.
Both of wireless cards work a few minutes (1-5) (I use 128-bit WEP keys for
communication with my AP Linksys WRT54G). After this time the following messages
appear in kernel log: 

eth1: islpci_open()
eth1: resetting device...
eth1: uploading firmware...
eth1: firmware uploaded done, now triggering reset...
eth1: timeout waiting for mgmt response 1000, triggering device
eth1: timeout waiting for mgmt response
eth1: expecting oid 0xff020003, received 0xff020008.
eth1: mgt_commit has failed. Restart the device 
eth1: no IPv6 routers present

eth1: timeout waiting for mgmt response 1000, triggering device
eth1: timeout waiting for mgmt response
eth1: timeout waiting for mgmt response 1000, triggering device
eth1: timeout waiting for mgmt response
eth1: timeout waiting for mgmt response 1000, triggering device
eth1: timeout waiting for mgmt response
eth1: timeout waiting for mgmt response 1000, triggering device
eth1: timeout waiting for mgmt response
eth1: mgmt tx queue is still full

..
(about 200 lines of this messsage)

During this time the interface does not work (it is also impossible to apply
iwconfig/iwevent on the interface).
After a few minutes the interface spontaneously resets:

eth1: resetting device...
eth1: uploading firmware...
eth1: firmware uploaded done, now triggering reset...
eth1: timeout waiting for mgmt response 1000, triggering device
eth1: timeout waiting for mgmt response
eth1: expecting oid 0xff020003, received 0xff020008.
eth1: mgt_commit has failed. Restart the device 

and it works a few minutes till the interface timeout appears again.

I tried to switch my AP to use 802.11b (instead 802.11g), but no success.
I have no problem with other (802.11b) wireless cards (Z-COM XI-325H) and my
Linksys AP.
I tried to use ndiswrapper with Win version of Z-COM XG-901, but it doesn't work. 
Do you have any idea how to enforce this wireless card to work without
above-mentioned failures?
